Please read these terms carefully before engaging SEOwali for any digital marketing services.
SEOwali provides digital marketing services including but not limited to Search Engine Optimisation (SEO), Google Ads management, Social Media Marketing, Website Design, WhatsApp Marketing, and related digital marketing services.
The specific scope of services, deliverables, and timelines will be agreed upon in writing (via email or WhatsApp) before the commencement of any engagement. Any changes to the agreed scope must be mutually confirmed in writing.
All monthly service fees are due in advance on the 1st of each month. Invoices are issued on the 1st and payment is due within 7 days of invoice date.
All SEOwali monthly service packages are month-to-month with no minimum commitment period. Either party may terminate the engagement with 30 days written notice via email or WhatsApp.
SEOwali will make reasonable efforts to deliver all agreed services within the timelines specified. However, certain services such as SEO and organic search rankings are subject to external factors including search engine algorithm updates, competition levels, and website technical conditions which are outside our control.
The Client agrees to:
Both parties agree to keep confidential any proprietary information, business strategies, campaign data, and pricing shared during the engagement. This obligation shall survive the termination of the service agreement.
SEOwali may use anonymised campaign results and performance data as case studies for marketing purposes, without disclosing the Client's identity, unless written consent is provided.
Upon full payment, the Client owns all content, creatives, and website assets created specifically for their business by SEOwali. SEOwali retains ownership of its proprietary tools, methodologies, templates, and processes.
The Client grants SEOwali a non-exclusive licence to use their brand assets (logo, images, content) solely for the purpose of delivering the agreed services.
SEOwali's total liability for any claims arising from the services shall not exceed the total fees paid by the Client in the 3 months immediately preceding the claim.
SEOwali shall not be liable for any indirect, incidental, or consequential damages including loss of business, revenue, or profits. SEOwali does not guarantee specific results such as a fixed number of leads, a specific ranking position, or a specific return on investment.
SEOwali's services involve third-party platforms including Google, Meta (Facebook/Instagram), LinkedIn, and WordPress. SEOwali is not responsible for changes to these platforms' policies, algorithms, or pricing that may affect campaign performance or deliverables.
The Client is responsible for maintaining valid accounts and complying with the terms of service of all platforms used in their campaigns.
In the event of any dispute arising from these terms or the services provided, both parties agree to first attempt resolution through good-faith negotiation within 15 days of written notice of the dispute.
If resolution cannot be reached through negotiation, disputes shall be subject to arbitration under the Arbitration and Conciliation Act, 1996, in Ludhiana, Punjab, India.
These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts in Ludhiana, Punjab, India.
SEOwali reserves the right to update these Terms and Conditions at any time. Clients will be notified of material changes via email or WhatsApp with at least 14 days notice. Continued use of our services after such notice constitutes acceptance of the updated terms.
